These terms govern the provision of services by PACIA to clients. By engaging PACIA for services, you agree to these terms.
1. Services
PACIA provides AI customer support system design, implementation, and related services as agreed in a separate project scope document. The specific deliverables, timeline, and fees for each engagement are defined in the project agreement.
2. Payment Terms
Fees are invoiced 90 days after the agreed launch date. If the client is not satisfied with the delivered system at the 90-day mark and wishes to invoke the satisfaction clause, no fee is due. The satisfaction clause requires the removal of the AI agent from all client channels. Partial satisfaction or satisfaction with specific components does not constitute a valid basis for invoking this clause.
3. Client Responsibilities
The client is responsible for providing accurate and complete information during the knowledge preparation phase, obtaining any necessary internal approvals for the use of AI in customer-facing interactions, and complying with applicable laws in their jurisdiction regarding AI use and data handling.
4. Intellectual Property
The structured knowledge base (Your Brain Blueprint) created during the engagement is the property of the client upon full payment. The AI configuration, system architecture, and proprietary methodologies used in delivery remain the intellectual property of PACIA.
5. Limitation of Liability
PACIA is not liable for any indirect, consequential, or incidental loss arising from the use or misuse of the delivered AI system. PACIA's total liability under any engagement is limited to the fees paid for that engagement.
6. Governing Law
These terms are governed by the laws of the jurisdiction in which PACIA is registered. Disputes will be resolved through good-faith negotiation in the first instance, and through the relevant courts if negotiation fails.
